FAQ
Where can I find all current Maryland Secretary of State business forms?
Maryland charter business forms are published by SDAT on the Departmental Forms & Applications page.
Online filing is handled through Maryland Business Express. Current charter fees are listed in the Fee Schedule for Documents Relating to Corporate Charters.
Is the registered agent consent form required to be filed with the Maryland Secretary of State?
Maryland does not use a separate resident agent consent form for the filings covered here.
Consent is embedded in the formation, registration, change, revival, reinstatement, and conversion documents that require a resident agent signature. If the filing names a new resident agent, the resident agent’s signature is the filed consent.
What form is used to change a registered agent in Maryland?
The entity-filed document is the Resolution to Change Principal Office or Resident Agent. The filing fee is $25 per entity.
The filing methods are the same as described above. Online filing is available through Maryland Business Express.
What is the difference between the entity-filed change form and the agent-filed change form in Maryland?
Maryland has an entity-filed change form and an agent-filed statement, but the agent-filed statement is not issued as a separate SDAT standard form.
The entity files the Resolution to Change Principal Office or Resident Agent to change the resident agent, the resident agent’s address, the principal office, or a combination of those items. The resident agent files a signed statement of change to update the agent’s own Maryland address for the represented entities.
If the agent’s old and new address is also the old and new principal-office address, the agent’s filing must recite that the entity received written notice. The fee for an agent-filed address change is $25 per entity.
Is there a fee to form a nonprofit corporation in Maryland?
Yes. A nonstock corporation pays $120.
A tax-exempt nonstock corporation pays $170. A religious corporation pays $120.
The fee amounts appear in the Fee Schedule for Documents Relating to Corporate Charters. Online card payments through Maryland Business Express include the 3% electronic service or convenience fee stated in that schedule.
What forms are used to register an out-of-state LLC in Maryland?
A foreign LLC files Limited Liability Company Registration. The filing fee is $100.
The filing must state the Maryland resident agent and include resident agent consent. If the LLC did business in Maryland before registration, the filing must include an additional $200 penalty.
What forms are used to form or register a partnership in Maryland?
A Maryland limited partnership files through Register Your Business in Maryland rather than on a separately posted SDAT standard form, and the filing fee is $100.
A foreign limited partnership files Application for Registration of a Foreign Limited Partnership, and the filing fee is $100. The filing must state the Maryland resident agent, include resident agent consent, and add a $200 penalty if the partnership did business in Maryland before registration.
A Maryland LLP files a Certificate of Limited Liability Partnership, and a foreign LLP files Limited Liability Partnership Registration. Each filing costs $100, each filing requires a Maryland resident agent, and the foreign filing adds a $200 penalty if the partnership did business in Maryland before registration.
Maryland does not use an LLP fee formula based on partner count. An LLP filing registers limited-liability status for the partnership; it does not create a corporation or LLC.
Can I file Maryland SOS forms online?
Yes. Maryland Business Express supports online formation, qualification, change, revival, reinstatement, and other charter filings identified on its filing pages.
Online filings may be submitted as non-expedited, expedited, or same-day filings when the filing type is eligible. The charter fee schedule lists a $50 expedited fee, a $325 same-day online fee, a $425 same-day paper rush fee, and a 3% electronic service or convenience fee for portal payments.
